Terms of Service

1. Acceptance of Terms

SearchBABA (searchbaba.com) is operated by Quarric LLC, a Massachusetts limited liability company doing business as “SearchBABA.” By accessing or using SearchBABA, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our service. If you are using SearchBABA on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

SearchBABA is a directory service that helps users find manufacturers of products compliant with the Build America, Buy America (BABA) Act. We provide a searchable database of manufacturer listings across the Electrical, Plumbing, and HVAC industries. We also provide free tools for specifiers, contractors, and distributors — including project and product-schedule building and the ability to share requests with distributors — and paid listing subscriptions for manufacturers.

SearchBABA is not a government agency, certifying body, or compliance authority. We aggregate and display information provided by manufacturers. We do not independently test, certify, or guarantee the BABA compliance of any product or manufacturer.

3. User Accounts

SearchBABA offers free accounts for specifiers, contractors, and distributors, and paid subscription accounts for manufacturers. All account types require registration with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

4. Manufacturer Representations and Warranties

By creating a manufacturer account and listing products on SearchBABA, you represent and warrant that:

• You are authorized to act on behalf of the company you are listing.
• All information provided is accurate, complete, and not misleading.
• Your BABA compliance claims are truthful and based on current, verifiable data.
• Any BABA compliance letters you upload are authentic documents issued by or on behalf of your company.
• You will promptly update your listing if your BABA compliance status changes.
• Product URLs, spec sheets, and other linked materials you provide comply with BABA guidelines and accurately represent your products' compliance status.

5. Acceptable Use

These acceptable-use rules apply to all users of SearchBABA. You agree not to:

• Submit false, misleading, or fraudulent BABA compliance claims.
• Upload forged, altered, or inauthentic compliance documents.
• Impersonate another person or company, or misrepresent your identity or role.
• Scrape, copy, or redistribute directory listings or other users' data except through features we provide.
• Use information or documents shared with you through the platform for any purpose other than responding to the request that was shared with you, or share it with unrelated third parties.
• Upload malicious files, viruses, or harmful code.
• Use the service to harvest data, spam, or engage in unauthorized automated access.
• Interfere with or disrupt the service or its infrastructure.
• Violate any applicable laws or regulations.

5a. Compliance Enforcement

The integrity of SearchBABA depends on the accuracy of manufacturer compliance claims. If we determine that a manufacturer has listed products as BABA compliant that do not meet compliance requirements, or has uploaded inaccurate or misleading compliance documentation, we may take the following actions at our sole discretion:

• Listing demotion: Your listing may be moved to the bottom of search results or removed from featured placement, regardless of your subscription tier.
• Verification revocation: Your Verified badge and status may be revoked, requiring resubmission of compliance documentation.
• Subscription termination: Your paid subscription may be canceled without refund for the current billing period.
• Account suspension or removal: Your account and all associated listings may be permanently removed from SearchBABA.

We may also notify affected users who may have relied on inaccurate compliance information. Manufacturers will be given an opportunity to respond to compliance concerns before permanent action is taken, except in cases of clear fraud.

6. Content and Licensing

Your content: You retain ownership of all content you submit to SearchBABA, including company information, product data, and uploaded documents. By submitting content, you grant SearchBABA a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content in connection with operating the directory service.

Removal: You may request removal of your content by deleting your account or contacting us. We will remove your listing within 30 days of a valid removal request.

6a. Sharing Projects and Requests with Distributors

SearchBABA lets specifiers and contractors share project details, product schedules, and requests with distributors to obtain quotes or fulfillment. When you share content with a distributor through the platform, you authorize us to transmit that content to the recipient you select, and you represent that you have the right to share it.

If content is shared with you as a distributor, you agree to use it solely to respond to the request that was shared with you — for example, to prepare a quote or fulfill an order — and not to redistribute it, sell it, or use it for unrelated marketing. SearchBABA is not a party to, and does not guarantee, any quote, price, availability, transaction, or outcome between users; any resulting dealings are solely between the parties involved.

7. Subscription Plans and Payment

SearchBABA offers multiple subscription tiers (Free, Professional, and Enterprise). Paid plans are billed monthly or annually as indicated at the time of purchase. Applicable sales tax is calculated and added at checkout where required. Prices are subject to change with 30 days' notice, except for founders who have locked-in rates.

Payment is processed through Stripe. We do not store credit card information on our servers. Refunds are handled on a case-by-case basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

7a. Text Messages (SMS)

If you provide a mobile phone number and opt in, you consent to receive text messages from SearchBABA related to your request or account — such as appointment or booking confirmations and account or support notifications. Message frequency varies, and message and data rates may apply. You may opt out at any time by replying STOP; reply HELP for help. Consent to receive texts is not a condition of purchasing any goods or services. How we handle your mobile number is described in our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEARCHBABA AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Losses resulting from reliance on BABA compliance information displayed on this platform.
• Losses resulting from inaccurate, incomplete, or fraudulent manufacturer claims.
• Contract losses, bid rejections, or penalties arising from compliance determinations.
• Service interruptions, data loss, or security breaches.

Our total liability for any claim arising from use of the service shall not exceed the amount you paid to SearchBABA in the twelve (12) months preceding the claim.

10. Indemnification

Manufacturers agree to indemnify, defend, and hold harmless SearchBABA and its operators from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• False or misleading BABA compliance claims submitted to the platform.
• Inauthentic or fraudulent compliance documents uploaded to the platform.
• Violation of these Terms or any applicable law or regulation.
• Any claim by a third party resulting from the manufacturer's listing on SearchBABA.

11. Termination

We may suspend or terminate your account and access to SearchBABA at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may terminate your account at any time by contacting us.

12. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised date. Continued use of SearchBABA after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Massachusetts, without regard to conflict of law principles. Any disputes arising from these Terms or your use of SearchBABA shall be resolved in the state or federal courts located in Massachusetts.
